Learning unit contents :
The course of commercial law, intended for non-jurists, has for object to describe, in its main lines, the legal regime applicable to the organization and to the functioning of the economy and the business trade generally. After a general introduction relative to the "commercialité", the first part will be dedicated to the notions, the mechanisms and the specific contracts to the storekeepers (Commercial court, modes of proofs, solidarity, business, commercial lease). A particular attention will then be retained towards ailing firms (bankruptcy and continuity). The second part will concern the company law. The study will concern on one hand the constitution and the functioning of the company and on the other hand on the accounting aspects of some operations (fusion, split, increase and capital reduction, dissolution). Finally, the control of companies will be studied.
Learning outcomes of the learning unit :
In the term of this course, the student will be able of making a distinction between the actors of the economy and the trade generally (trading natural person or not, company, "ASBL"). He will know the essential rules applicable to the storekeepers in particular in case of difficulties. The company law will be both also mastered in its component of organization and on its accounting aspects. In a global way, the student will arrange necessary notions to dread the economic reports which will intervene in their future professional life.

The course will take place during the first and second "quadrimestre". It is dispensed in face-to-face.
